Terms of Conditions


Thank you for visiting the Socialstar website (the "Site"). You may use the services of Starsocial Ltd. (d/b/a "Socialstar") subject to the following restrictions. You must read and agree to all of the terms and conditions in this Terms of Service ("TOS") and the Privacy Policy before using the Site. Upon acceptance, this TOS becomes operative. Use of any Site feature entails acceptance of these Terms of Service. The TOS will take precedence over any other papers if they clash with this one regarding how to use the Site. Only users who have registered with Socialstar are permitted to access some areas of the website. You are not permitted to use the Site in any way if you do not accept the terms of this TOS and the Privacy Policy.

1. Description of Service In the Site

Peer-to-peer recognition is offered by Socialstar to registered organisations (the "Service"). It is your responsibility to gain access to the Site, and doing so might include paying third-party fees (such as Internet service provider or airtime charges). In addition, you are in charge of providing and maintaining all equipment needed to access the Site.

2. License and Site Access

You are given a restricted licence by Socialstar to use the Site and the Service. This licence excludes the following actions: downloading or copying account information for the benefit of another vendor or any other third party; caching; creating unauthorised hypertext links to the Site or framing any Content made available through the Site; uploading, posting, or transmitting any content for which you do not have the necessary rights (such as material containing software viruses); and any of the foregoing actions; any action that places, or could place (in Socialstar's sole discretion), an unreasonably high or unreasonable burden on Socialstar's infrastructure; or any use of data mining, robots, or other means for gathering and extracting data of a similar nature. You are not permitted to get over any barriers put in place by Socialstar to prevent or limit access to the Site. The authorization or licence that Socialstar has issued to you or your company will be revoked if you use it improperly.

3. User Eligibility

Any users who Socialstar suspends or removes from the system for any reason are not eligible to use the Socialstar service. You are not permitted to utilise the Socialstar Service or the Site if you or your company do not meet the requirements. You warrant that you legally belong to the organisation and are not a person prohibited from receiving services under the laws of the United States or another applicable jurisdiction in exchange for usage of the Site. Additionally, you consent to updating the information you submit on the registration form on the website to keep it truthful, accurate, current, and comprehensive. Socialstar reserves the right to refuse any and all current or future use of the Site if you provide any information that is untrue, inaccurate, not current, or incomplete (or becomes untrue, inaccurate, not current or incomplete), or if Socialstar has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete (or any portion thereof).

4. Submitted Content

For the purposes of this Agreement, "Content" refers to any original creative work, including but not limited to written posts, responses, and comments as well as audio, video, pictures, images, illustrations, animations, scripts, executable files, logos, tools, and interactive features. As between you and Socialstar, you are the exclusive owner of the intellectual property rights to your Content, and Socialstar is the sole owner of the intellectual property rights to its Service and all other Content (aside from your Content) made available through the Service.

You consent to not selling, licencing, distributing, copying, editing, adapting, creating derivative works from, publicly displaying or performing, transmitting, publishing, or otherwise making illegal use of the Service or any Content made accessible through the Service (other than your own Content). You give Socialstar, as a subscriber to the Service, a transferable, worldwide, non-exclusive, royalty-free right and licence to download, copy, store, view, perform, and analyse the Content uploaded and/or posted to Socialstar for the following purposes:

  • purposes of operating and providing the Service and

  • internal business needs of Socialstar, including but not limited to monitoring and enhancing service usage.

5. Limitation of Liability

Your access to and use of the Site and the Service are granted to you by Socialstar under a limited licence. This licence does not apply to the following actions: downloading or copying account information for the benefit of another vendor or any other third party; caching; creating unauthorised hypertext links to the Site or framing any Content made available through the Site; uploading, posting, or transmitting any content for which you do not have the necessary rights (for example, any material containing software viruses); or posting, uploading, or transmitting any content that violates the rights of any other person; any action that places, or could place (in Socialstar's sole discretion), an unreasonably high or unreasonable burden on Socialstar's infrastructure; or any use of data mining, robots, or other means for gathering and extracting data of a similar nature. You are not permitted to get over any barriers put in place by Socialstar to prevent or limit access to the Site. The authorization or licence that Socialstar has issued to you or your company will be revoked if you use it improperly.

6. Indemnity

You consent to defend and hold harmless Socialstar (and its officers, directors, agents, subsidiaries, joint ventures, and employees) from any claim or demand resulting from or connected to your violation of this TOS or any law or the rights of a third party, as well as appropriate legal fees.

7. Electronic Communication

You are electronically communicating with Socialstar when you use the Site or send emails to Socialstar. You agree to receive communications from Socialstar and its site's affiliates and partners electronically (as defined in the Privacy Policy). In order to contact you, Socialstar will either email you or make a notification on the Site. You acknowledge that electronic delivery of all agreements, notices, disclosures, and other communications to you satisfies any legal requirement that such communications be in writing.

8. Links

Links to other World Wide Web sites or resources may be offered by the Site or by third parties. You acknowledge and agree that Socialstar is not responsible for the availability of any such external sites or resources, and that Socialstar is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources due to Socialstar's lack of control over those sites and resources. You also acknowledge and agree that Socialstar is not responsible or liable, directly or indirectly, for any loss or damage of any kind incurred as a result of or in connection with the use of or reliance on any such content, goods, or services made available on or through any such website or resource.

9. Site-Provided Email and Postings

The Site may give users the option to publish messages on the site and send emails to other users and non-users. Socialstar has no obligation to examine any user-posted communications, data, or content (collectively, "Postings") on the Site and disclaims all responsibility and liability for any such Postings. Despite the aforementioned, Socialstar may occasionally review the postings on the website and decide not to approve or remove any emails or postings.

You recognise and consent that you may not submit information or start communications on the Site using any functionality that contains: any illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful, racially, ethnically, or otherwise objectionable material of any kind, including, but not limited to, any material that promotes behaviour that could be illegal, give rise to civil liability, or otherwise be against any applicable local, state, national, or international law.

Advertisements or solicitations of any kind. False information of any type or impersonation of others. Personal details include messages containing phone numbers, social security numbers, account numbers, addresses, or references from previous employers. messages from Socialstar personnel who are not spokespersons that purport to speak on the body's behalf, contain sensitive information, or offer opinions about the body. messages offering unlawful downloading of any private or copyrighted data.

The same user's repeated messages in various folders all reiterate the same idea. any form of chain letter. identical messages (or messages that are substantially similar) sent to several recipients that promote any good or service, convey political opinions, or any other kind of unsolicited commercial message. This is prohibited, but it also pertains to the following: a) Using Socialstar invitations to send messages to individuals who are unfamiliar with you or unlikely to recognise you as a known contact; b) Using Socialstar to connect to individuals; sending unsolicited commercial messages to those direct connections without their consent; and c) Sending messages to distribution lists, newsgroup aliases, or group aliases.

10. Organizations and Companies

In exchange for using the Services, you agree to: fill out the registration form with true, accurate, current, and complete information about yourself ("Registration Data"); and maintain and promptly update your Registration Data to keep it true, accurate, current, and complete. Socialstar may terminate your Account and deny you access to any or all of the Services if you provide any information that is untrue, inaccurate, out-of-date, or incomplete, or if Socialstar has reasonable grounds to think that such information is untrue, inaccurate, out-of-date, or incomplete. Authorized users of your account may be chosen by you.

Any acts that you are permitted to do under this Agreement may be carried out by those authorised users with full access to your account. Users who interact with the Socialstar widget on your website or blog to make purchases agree to its terms of service and privacy statement. Please be aware of our shipping and return procedures.

11. Access To Password Protected/Secure Areas.

Only authorised users are permitted access to and use of the Site's password-protected and/or secure areas. Accessing these portions of the Site without authorization may result in legal action.

12. Trademarks

The Marks ("Marks") displayed on the Site are registered and unregistered trademarks, service marks, and/or trade dress of Socialstar and others. Users are not allowed to use any Marks for any purpose, including but not limited to utilising them as metatags on other web pages or websites, without Socialstar's or another party's express consent. The term "Content" refers to all data, information, and content, including any software programmes made available on or via the Site. Any Content made accessible on or via the Site may not be changed, copied, distributed, transmitted, displayed, published, sold, licenced, turned into derivative works, or used for public or commercial gain by users.

13. General

The parties agree that the court should make an effort to give effect to the parties' intentions as expressed in the provision if any of these conditions are found to be invalid, void, or otherwise unenforceable. The unenforceable condition will be deemed severable and will not affect the validity and enforceability of any other conditions. Socialstar may occasionally present special promotional deals that might or might not apply to your Socialstar account. The scope and extent of a section are not limited by the headings, which are merely there for reference. Without respect to Delaware's rules on conflicts of law, this TOS and your relationship with Socialstar will be governed by Delaware law.

Regarding any legal actions that may be related to this TOS, you and Socialstar consent to submit to the personal jurisdiction of the federal and state courts in the State of Delaware. Socialstar's right to take action in response to future or similar breaches is not waived by its failure to respond to a breach by you or others. Socialstar makes no promises that it will enforce this TOS in all cases. There shall be no third-party beneficiaries to this TOS unless clearly stated otherwise in this TOS. This TOS supersedes any earlier agreements between you and Socialstar with regard to the Site and represents the complete agreement between you and Socialstar.
